Abstract

This article analyzes the Croatian Criminal Code’s provisions oncorporate criminal liability, thereby clarifying the notion of an “offence,” the model ofcorporate liability, the range of entities subject to criminal responsibility, theconditions under which a legal person may be prosecuted, and the sanctions andancillary measures available. On this basis, it assesses the points of convergence anddivergence between the Vietnamese and Croatian frameworks for corporate criminalliability and offers targeted recommendations for enhancing Viet Nam’s own legalregime in this domain.Keywords: Commercial legal entities; criminal responsibility of legal entities;Croatian criminal law.
